Terms of Service
Please read these terms carefully before engaging with ProfitShadow.
Acceptance of Terms
By engaging with ProfitShadow — whether through an application, discovery call, signed agreement, or any form of communication — you agree to be bound by these Terms of Service. If you do not agree, please do not proceed with any engagement.
Services Provided
ProfitShadow provides private advisory, growth infrastructure, offer development, launch strategy, and business operations support. The specific scope of services is defined in each individual engagement agreement. These terms govern the general relationship between ProfitShadow and its clients.
Confidentiality
All information shared between ProfitShadow and its clients is treated as strictly confidential. ProfitShadow will not disclose client information to third parties without explicit written consent, except where required by law. Clients are equally expected to maintain the confidentiality of ProfitShadow's proprietary frameworks, processes, and materials.
Intellectual Property
All strategies, frameworks, written materials, and deliverables produced by ProfitShadow remain the intellectual property of ProfitShadow until full payment has been received. Upon completion of payment, clients receive a non-exclusive license to use the deliverables for their intended business purpose.
Payment Terms
Payment terms are outlined in each individual engagement agreement. ProfitShadow operates on a combination of fixed-fee, retainer, and revenue-share structures depending on the nature of the engagement. Late payments may result in a pause or termination of services at ProfitShadow's discretion.
Limitation of Liability
ProfitShadow provides advisory and strategic services. While we are committed to delivering high-quality work, we cannot guarantee specific financial outcomes. ProfitShadow's liability is limited to the fees paid for the specific engagement in question. We are not liable for indirect, incidental, or consequential damages.
Client Responsibilities
Clients are responsible for providing accurate and complete information necessary for ProfitShadow to perform its services. Delays caused by incomplete information, lack of approvals, or failure to meet agreed timelines on the client's side may affect delivery schedules and are not the responsibility of ProfitShadow.
Termination
Either party may terminate an engagement with written notice as specified in the individual engagement agreement. In the event of early termination by the client, fees already paid are non-refundable unless otherwise stated in the agreement. ProfitShadow reserves the right to terminate any engagement immediately in cases of breach of these terms.
Non-Solicitation
Clients agree not to directly solicit, hire, or engage any ProfitShadow team members, contractors, or advisors for a period of 24 months following the conclusion of an engagement, without prior written consent from ProfitShadow.
Governing Law
These Terms of Service are governed by and construed in accordance with applicable law. Any disputes arising from an engagement with ProfitShadow will be resolved through good-faith negotiation first, and if unresolved, through binding arbitration.
Amendments
ProfitShadow reserves the right to update these Terms of Service at any time. Clients will be notified of material changes. Continued engagement following notification constitutes acceptance of the updated terms.
